1. Scope and Conclusion of Contract
1.1 Scope
These General Terms and Conditions (Terms) apply to all contracts for the use of the SaaS platform vpchat.de between mobilistics GmbH (hereinafter “Provider”) and its customers (hereinafter “Customer”).
1.2 Businesses Only
The offer is directed exclusively at businesses within the meaning of section 14 of the German Civil Code (BGB), i.e. natural or legal persons and partnerships with legal capacity that act in the exercise of their commercial or independent professional activity when concluding the contract, and at legal entities under public law and special funds under public law. The Provider does not conclude contracts with consumers within the meaning of section 13 BGB. By registering and with every order, the Customer confirms that they are acting as a business. The Provider may require proof of business status, for example a VAT identification number, and may terminate the contract if it turns out that the Customer is a consumer.
1.3 Conclusion of Contract
By registering and confirming their email address, the Customer concludes a usage contract for the free initial use under section 2.6. A paid subscription is concluded when the Customer completes the ordering process with our payment service provider Stripe by clicking the order button and the Provider then activates the subscription. Before completing the order, the Customer can review and correct their details.
These Terms are available at any time at vpchat.de/en/agb, where they can be saved and printed. Administrators of the organisation can view the contract details (subscription, seats, invoices) in the settings under “Billing”.
1.4 Deviating Terms
Deviating, conflicting or supplementary terms and conditions of the Customer shall not become part of the contract unless the Provider has expressly agreed to their validity in text form.
2. Description of Services
2.1 Main Service
The Provider operates a web-based chat application (vpchat) through which the Customer can use language models from various providers. It includes in particular:
- automatic detection of personal data in inputs and its replacement with placeholders (masking) before a request is forwarded to a language model;
- forwarding of the masked requests to language models from various providers (currently including models from Anthropic, OpenAI, Google and Mistral as well as an open model processed in the EU);
- replacement of the placeholders with the original values in the response;
- storage of the chat history in the customer account;
- the Privacy Dashboard with counters for the masked data types;
- management of organisations, members and roles, and sign-in via single sign-on (SSO).
2.2 Services on Request
The Provider offers the following services only on request and subject to a separate agreement: a data processing agreement (section 8.3), a confidentiality undertaking for professionals bound by secrecy (section 8.3), an audit log of masking operations, and operation on the Customer’s own infrastructure (on-premise).
2.3 Language Models and Third-Party Providers
The language models are provided by third parties. The Provider may change the models offered, replace them with equivalent or more capable ones, or remove individual models, for example if a third party discontinues a model, changes its terms, or a model no longer meets data protection and security requirements. The core of the service, access to capable language models with masking applied beforehand, remains in place.
2.4 Output of the Language Models
Responses are generated automatically by language models. They may be incomplete, outdated or wrong. The Customer checks every response before using it. The Provider does not provide legal, tax or other advice; professional responsibility for using the responses lies with the Customer.
2.5 Usage Limits (Fair Use)
Usage is limited per seat across all models: by an allowance for the most recent seven days, by a five-hour window starting with the first request, and by a ceiling for the most recent 31 days, which as a rule is not reached if the other two limits are observed. The allowances are measured by the costs the requests incur with the model providers and are set so that use by one person in their daily work is not restricted; automated continuous load is excluded. Once an allowance is used up, the service accepts further requests only when enough usage has dropped out of the period. The Customer can see the status of the five-hour and seven-day windows and when capacity frees up in the settings under “Usage”.
2.6 Free Initial Use
After registering, the Customer can use the service to a limited extent without providing a payment method. The scope is limited to a fixed number of requests and a cost budget per account, applies once and does not renew. During this phase not all language models are available, the amount of text per request, including attached documents, is reduced, and no further users can be invited. There is no entitlement to free use, to a particular scope or to availability; the Provider may change or discontinue the scope and existence of this phase at any time with effect for the future. Continued use requires a subscription.
2.7 Trial Period
An organisation’s first subscription starts with a free 30-day trial. A payment method must be provided for the trial. Unless the Customer cancels before the end of the trial, it automatically converts into a paid subscription and the first fee becomes due. During the trial, at most five further members can be invited in addition to the Customer. An organisation that has already had a subscription does not receive another trial.
2.8 Availability
The Provider aims for an availability of 99.5% on a monthly average, excluding scheduled maintenance. The Provider announces maintenance in advance where possible and preferably schedules it between 10:00 pm and 6:00 am (CET/CEST). The Provider is not responsible for the availability of third-party language models.
3. Registration and User Account
3.1 Registration
Registration is required to use the service. The Customer undertakes to provide truthful and complete information, in particular regarding their status as a business, and to keep it up to date.
3.2 Account Security
The Customer keeps their access credentials confidential and is liable for activities under their account unless they are not responsible for the breach of duty.
3.3 Organisations and Members
A subscription applies to one organisation. Administrators of the organisation can invite members, assign roles and manage billing. The Customer is responsible for ensuring that the members they invite comply with these Terms.
4. Prices, Seats and Term
4.1 Prices
The prices stated on vpchat.de at the time of the order apply. The prices stated include statutory VAT. For businesses established in another EU member state that provide a valid VAT identification number, the reverse-charge procedure applies.
4.2 Seats
Billing is per seat and month. Seats are all active members of the organisation plus invitations that have not yet been accepted or withdrawn. If seats are added or removed during the current billing period, the difference is charged or credited pro rata and settled with the next invoice.
4.3 Term and Cancellation
The subscription runs for an indefinite period and renews for one month at a time. It can be cancelled at any time without notice with effect from the end of the current billing period, by the Customer through an administrator of the organisation in the settings under “Billing” or in text form (e.g. by email to vpchat@mobilistics.de), and by the Provider in text form. The right to terminate for good cause remains unaffected.
4.4 Price Changes
The Provider may change the prices of existing subscriptions with effect for the future. The Provider announces a price change in text form at least six weeks before it takes effect. Up until that date, the Customer may terminate the subscription with effect from the date the price change takes effect; the Provider points out this right in the announcement.
5. Payment and Billing
5.1 Payment Processing
Payment is processed by the payment service provider Stripe. Stripe’s terms additionally apply to payment processing.
5.2 Payment Method and Invoices
The fee is payable monthly in advance and is collected via the payment method provided during the ordering process. The Provider makes invoices available to administrators of the organisation in the settings under “Billing”.
5.3 Failed Payments
If a payment fails, the payment service provider retries the collection and the Customer is notified in the application. If payment is still not received, the Provider may suspend access to the paid services until payment has been received.
5.4 Refunds
On cancellation, fees already paid for the current billing period are not refunded pro rata.
6. No Right of Withdrawal
As the Provider concludes contracts exclusively with businesses (section 1.2), there is no statutory consumer right of withdrawal. The free initial use (section 2.6) and the trial period (section 2.7) are available for getting to know the service.
7. Customer Obligations
7.1 Proper Use
The Customer uses the service only as intended and does not process unlawful content. If the Customer enters personal data of third parties, they ensure that they are entitled to do so.
7.2 Prohibited Use
In particular, the following is prohibited:
- processing content that violates applicable law;
- attempts to manipulate the system or to circumvent, disable or impair security, masking or access control mechanisms;
- reverse engineering, decompiling, disassembling or otherwise reconstructing the software or parts of the service, unless expressly permitted by mandatory law (e.g. section 69e of the German Copyright Act (UrhG));
- extracting, copying, reproducing or replicating the software, the models used, the underlying functional logic or substantial parts of the service, in particular to build a competing product;
- automated data extraction (scraping) and use for automated requests beyond the intended use without prior agreement;
- excessive use of system resources that impairs proper operation for other users;
- passing on access credentials to third parties.
7.3 Duty to Cooperate
The Customer provides the information required for the provision of the service and for troubleshooting and cooperates appropriately.
7.4 Consequences of Breach
If the Customer materially breaches the obligations under this section 7, in particular by reverse engineering, circumventing protection or masking mechanisms or misusing the service, the Provider may block access in whole or in part and terminate the contract without notice for good cause. Further claims remain unaffected.
8. Data Protection and Data Processing
8.1 Privacy Policy
Details on the processing of personal data are set out in the privacy policy at vpchat.de/en/datenschutz.
8.2 Masking and Storage
- Personal data is automatically detected and replaced with placeholders before being forwarded to a language model, as long as masking is switched on.
- The mapping of placeholders to original values is stored temporarily only for the purpose of replacing them in the response and is deleted once no masked request from the Customer in the same organisation has been received for one hour.
- The chat history, including the inputs, is stored in plain text in the customer account so that the Customer can find it again. Masking protects the transfer to the model providers, not this storage.
- In the cases listed in the privacy policy (section 7), content is transferred to the model provider in plain text, in particular if the Customer switches masking off, to the extent their organisation permits this, or releases individual values.
Automatic masking is a supporting procedure in line with the state of the art; it is not error-free and does not guarantee that all personal or confidential data will be detected and replaced. The Customer must not rely solely on masking and checks every input for personal and confidential content on their own responsibility before sending it. The Customer remains responsible for the content of their inputs.
8.3 Data Processing and Confidentiality
Where the Customer processes personal data of third parties in the service, the Provider concludes a data processing agreement under Art. 28 GDPR on request. For professionals bound by secrecy, the Provider provides, on request, a confidentiality undertaking in text form under section 203(4) of the German Criminal Code (StGB) and the relevant professional laws (in particular section 43e BRAO, section 62a StBerG, section 26a BNotO).
8.4 Deletion
The Customer can delete individual conversations in the sidebar and their account in the settings at any time; if they are the last administrator of an organisation with further members, they first transfer the administrator role. The stored content is deleted immediately; section 8.2 applies to the masking cache. After a subscription ends, the account and the stored content remain until the Customer deletes them or requests their deletion. Statutory retention obligations, in particular for invoices, remain unaffected.
9. Service Disruptions
The Customer reports disruptions to info@mobilistics.de. The Provider endeavours to resolve them as quickly as possible.
10. Liability
10.1 Unlimited Liability
The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, in the case of fraudulent concealment of a defect, and to the extent of any guarantee given.
10.2 Limited Liability
In the case of slightly negligent breach of essential contractual obligations, i.e. obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Customer may regularly rely, liability is limited to the foreseeable damage typical for the contract.
10.3 Exclusion Otherwise
Otherwise, liability for slight negligence is excluded. The Provider is liable for failures or errors of third-party language models only to the extent that it is responsible for them.
11. Consequences of Termination
When the subscription ends, access to the paid services ends. Section 8.4 applies to the stored content.
12. Warranty
The statutory rights in respect of defects apply. The Provider remedies defects within a reasonable period.
13. Changes to these Terms
The Provider may amend these Terms with effect for the future if there is an objective reason, such as a change in the legal situation or new or changed features of the service. The Provider announces changes in text form at least six weeks before they take effect. Changes affecting the service and the consideration only take effect with the Customer’s express consent. Other changes are deemed accepted if the Customer does not object within six weeks of receiving the announcement; the Provider points out this consequence in the announcement. If the Customer objects, either party may terminate the contract as of the date the change takes effect.
14. Final Provisions
14.1 Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
14.2 Place of Jurisdiction
If the Customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, Dortmund is the exclusive place of jurisdiction.
14.3 Severability
Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
14.4 Contract Language
The contract language is German. In the event of discrepancies between the German and a foreign-language version, the German version prevails.
15. Consumer Dispute Resolution
The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
